1. Your Agreement

1.1. About Us

Ezgage platform is centered around providing social media services, enabling users to create campaigns and monetize their presence within social media networks. Ezgage offers tools for users to create and manage campaigns, analyze performance metrics, and generate revenue through social media interactions.

1.2. These Terms

These Terms form a legally binding agreement between you (“you”, “your”, “user” or “users”) and Ezgage (“Ezgage,” “we,” “us,” or “our”). They regulate your use of Ezgage services provided through our Platform or via other means. These services may be delivered by Ezgage or, where indicated in these Terms, any Product Terms, or additional terms, by any Ezgage Affiliate.

By creating an Ezgage Account, accessing the Platform, and/or using Ezgage Services, you confirm that you have read, understood, and agreed to these Terms, as well as any related documents or terms referenced within. You acknowledge and agree to be bound by these Terms and adhere to them as they may be revised and updated periodically.

If you do not fully understand and accept these Terms, you should refrain from creating an Ezgage Account, accessing the Platform, or using any Ezgage Services.

2. Eligibility

2.1. Eligibility Criteria

To qualify for registering an Ezgage Account and using Ezgage Services, you must:

  1. Not be located in, incorporated in, otherwise established in, or a resident of, or conducting business operations in a jurisdiction where accessing or using Ezgage Services would be illegal under Applicable Law, or would cause us or any third party to violate any Applicable Law;
  2. Be an individual, corporation, legal person, entity, or other organization with the full authority, power, and capacity to access and utilize Ezgage Services and enter into and fulfill your obligations under these Terms;
  3. If you are an individual, be at least 13 years of age, if you are between 13 and the age of majority in your country, you need parental or guardian consent to use Ezgage. This is applicable across all Ezgage services and accounts;
  4. If you are acting as an employee or representative of a legal entity and entering into these Terms on its behalf, you must be properly authorized to act on behalf of and bind the legal entity for the purposes of these Terms;
  5. Not have been previously terminated, suspended or banned from using Ezgage Services.

2.2. Amending our eligibility criteria

We may modify our eligibility criteria at any time at our sole discretion. When feasible, we will provide advance notice of these changes. However, there may be instances where changes must be implemented immediately without prior notice. These instances may include:

  1. Changes required due to legal and/or regulatory updates;
  2. Changes that are in your best interest;
  3. Any other valid reason that necessitates immediate implementation.

If advance notice is not possible, we will inform you of the changes as soon as practicable after they have been made.

3. How We Communicate with Each Other

If you have any questions, feedback, or complaints, please contact our Support team at Ezgage Support section within the app. These Terms may include specific contact details for particular notices. For matters unrelated to the operation of Ezgage Services, you can reach us via email at info@ezgage.com. This email address is not monitored for operational matters.

3.2. How we will contact you

We will use the contact information you provide to reach you, which may include notifications, email, SMS, or phone calls. It is essential to ensure that your contact details are accurate and current. If there are any changes to your contact information, please notify us immediately. Failure to update your contact details may result in you missing important notices, updates, or information from us, for which we cannot be held responsible.

4. Right to use

4.1. Conditions

As long as you follow these Terms, we grant to you a non-exclusive, non-transferable, non-sublicensable right to use Ezgage in compliance with these Terms. 

4.2. You shall not

  1. Reverse engineer, disassemble, decompile, decode, adapt, hack or otherwise attempt to derive or gain access to the source code of Ezgage, in whole or in part;
  2. Use access to Ezgage, any other information for the purpose of building or replicating Ezgage;
  3. Resell, create external hyperlinks, use, copy, track (e.g. using spider and scraping software), display, download or reproduce any piece of content or information, software, products or services available in Ezgage for any competitive activity;
  4. Copy and / or distribute Ezgage, in whole or in part;
  5. Try to interfere with the operation of Ezgage, disrupt the process of providing Ezgage to other users or otherwise try to harm Ezgage and/or its users (DoS, DDoS attack, etc.);
  6. Use an anonymizing proxy;
  7. Take any action that may cause us to lose any of the services from our internet service providers, or other suppliers; 
  8. Use Ezgage to solicit the performance of any activity which infringes our rights or the rights of others. Verbal, physical, written or other abuse (including threats of abuse or retribution) of any customer, our employee or officer;
  9. Use Ezgage to upload, transmit, or otherwise distribute any objectionable content, as solely determined by us;
  10. Use information to which the requirements of personal data law apply (in particular, GDPR, CCPA) in violation of such law;
  11. Violate, or attempt to violate, any Applicable Law;
  12. Violate, ours or any third parties copyright, patent, trademark, trade secret, or other intellectual property rights, or rights of publicity or privacy;
  13. Use Ezgage in any other manner that is contrary to the applicable law or these Terms.

Violation of the conditions above or any other part of the Terms may result in the termination of your right to use Ezgage without any refund. Your actions may also lead to legal consequences.

5. Intellectual Property

5.1. Background IP

All rights to Ezgage IP shall remain vested in Ezgage.

5.2. Licence of Ezgage IP

We grant you a non-exclusive license to use Ezgage IP, excluding the Trademarks, for the duration of these Terms or until your access to Ezgage Services is suspended or terminated, whichever occurs first. This license is solely for the purpose of enabling you to utilize Ezgage Services for non-commercial personal or internal business use, in accordance with these Terms.

5.3. Licence of User IP

Your Grant of License:
You provide us with a perpetual, irrevocable, royalty-free, worldwide, and non-exclusive license to use the User IP to the extent that it:

  1. Forms part of, or is necessary for the use of, any Created IP; and
  2. Is necessary to allow us to provide you with Ezgage Services from time to time.

Our right to sub-licence:

The license granted by you under this clause includes our right to sub-license it to third parties as needed to enable us and any Ezgage Affiliates to deliver Ezgage Services, or any part of them, to you.

5.4. Created IP

  1. Ownership of Created IP: The Created IP will automatically vest in us at the time of its creation.
  2. Assignment: You hereby assign to us (and agree to ensure that any agents, representatives, or contractors assign) full title guarantee to all present and future rights and interests in the Created IP.
    If requested, you agree to (and ensure that any agents, representatives, or contractors will) sign and/or execute any documents and perform any acts required to perfect the assignments under this clause, without charge to us.

6. Ezgage Services

6.1.  Specific Product Terms

After creating an Ezgage Account, you will have access to Ezgage Services as outlined in these Terms and the specific Product Terms applicable to each individual Ezgage Service you use.

6.2. Intra-Group Services

You acknowledge and agree that certain Ezgage Services may be provided by Ezgage Affiliates.

7. Profiles

7.1. Approved Profiles

Approved profiles within Ezgage are eligible to earn points based on confirmed interactions with campaigns within Ezgage ecosystem, on a shared social media network. Additionally, the content of these profiles becomes available for campaign creation within Ezgage ecosystem.

7.2. Profile Ownership

The user submitting a profile from a social media network must either own the profile or have authorization from the owner to manage it. The user must provide a non-invasive, temporary proof of ownership as facilitated by Ezgage during the submission process.

7.3. Management Criteria 

Ezgage reserves the right to establish criteria for approving, deactivating, deleting or banning profiles submitted by users to maintain the quality of the community using Ezgage services, and the content available through Ezgage. This also helps prevent the propagation of bots and fake accounts within Ezgage ecosystem and the relevant social media networks. The inspection criteria include, but are not limited to:

  1. Public Accessibility: The profile must be publicly accessible on the social media network it belongs to;
  2. Profile Creation Date: The date the profile was created on the social media network it belongs to;
  3. Number of Content: The number of content made by the profile on the social media network it belongs to;
  4. Content Quality: The profile must not promote hate speech, extremist ideas, political agendas, violence, harassment, or any form of discriminatory content. Instead, it should promote high-quality, engaging content that adds value to the community. Content should be informative, entertaining, inspirational, or educational, and align with positive community standards;
  5. Engagement Metrics: Profiles should demonstrate genuine engagement metrics, such as likes and comments, to qualify for approval.
  6. Follower/Following Ratio: The ratio of followers to following on the social media network it belongs to;
  7. Compliance with Terms: All profiles must comply with the terms of service of both Ezgage and the associated social media networks.

These criteria can be evaluated at any time and without prior notice.

7.4. Data Collection

Ezgage will never collect or request profile credentials from an external social media network. Apart from this, the tracked information is strictly limited to what is necessary for providing Ezgage services and is publicly available on the related social media network.

7.5. Prohibited Actions

  1. You are prohibited from frequently deleting and re-adding the same profile to their account;
  2. Any form of exploitative behavior with profiles is not allowed;
  3. You must not engage in activities that artificially inflate engagement metrics, such as using bots or other automated tools;
  4. If you delete a profile from your account, Ezgage reserves the right to suspend the profile for a specified number of days;
  5. Attempting to circumvent Ezgage’s approval criteria or engaging in deceptive practices is strictly forbidden.

8. Points & Interactions

8.1. Interactions

  1. Ezgage has the right to verify if an interaction was performed according to the promoted task. If not, points will not be credited to your account.
  2. Interaction validation can be reevaluated at any time. 
  3. Ezgage reserves the right to revoke points made available to you, always stating the reason, including but not limited to the following cases:
    1. Deletion of the profile on the social media network it belongs to;
    2. Deletion of the interaction for which the points were rewarded;
    3. Violation of any other terms.

8.2. Injection of Points

  1. Ezgage reserves the right to inject points into the ecosystem as deemed necessary to maintain a positive balance in the system, providing notification but not limited to a prior date, and never more than 30 days after the injection has occurred;
  2. A correction in the your points balance justified by, but not limited to, a system error does not fall under the previous clause.

8.3. Ownership

Points are considered property of the user unless, a violation of the terms by the user is detected.

8.4. Promotional Campaigns

Ezgage has the right to create campaigns that involve the offering of points.

8.5. You shall not

  1. Using automated systems or bots to obtain points in a non-organic/manual manner;
  2. Linking multiple accounts to gather more points;
  3. Exploiting any system vulnerabilities or loopholes to gain points;
  4. Creating fake interactions or engagements;
  5. Manipulating or falsifying data related to interactions;
  6. Collaborating with others to artificially inflate engagement metrics.

9. Campaigns

9.1. Eligibility

  1. Users can create campaigns for content that belongs to profiles submitted by them and approved by Ezgage;
  2. The content must be public on the social media network it belongs to.

9.2 Requirements

  1. The campaign type must be feasible to execute within the constraints of the post and/or content;
  2. The number of campaigns is limited by the subscription plan the account holds. This limitation can be based on the period, quantity, or type of campaign;
  3. Ezgage reserves the right to terminate campaigns that do not receive interactions after a certain period.

9.3. Standards

  1. Campaigns must not promote hate speech, political agendas, or other controversial themes;
  2. Ezgage reserves the right to terminate any campaign that violates these terms. Refunds, whether total, partial, or nonexistent, will be issued at Ezgage’s discretion with a provided reason.

9.4. Additional Points

  1. Campaign Monitoring: All campaigns are subject to monitoring to ensure compliance with these terms and standards;
  2. Review Process: Campaigns may undergo a review process to ensure they meet all criteria and standards;
  3. Content Verification: The content associated with the campaign must remain consistent with the initial submission. Any changes must be resubmitted for approval;
  4. User Responsibilities: Users are responsible for ensuring that their campaigns comply with all relevant laws and social media network guidelines it belongs to;
  5. Feedback and Reporting: Users can provide feedback on campaign performance, and other users can report campaigns that they believe violate the terms;
  6. Campaign Duration: The maximum duration of a campaign may be limited based on the type of campaign and the subscription plan;
  7. Interaction Tracking: Ezgage will inspect interactions to ensure they occurred, are genuine and meet the requirements set forth in the campaign criteria;
  8. Data Privacy: All data collected during the campaign will be handled in accordance with Ezgage’s data privacy policy;
  9. Intellectual Property: Users must ensure that they have the right to use any intellectual property included in their campaigns;
  10. Termination Clause: Ezgage reserves the right to terminate any campaign at any time if it is found to violate the terms or for any other valid reason, always considering the best interests of the community.

10. Deposits

10.1. User Deposits

  1. Users can deposit funds into their accounts, which are stored in internal wallet(s) and can be used for services provided by Ezgage;
  2. Users are responsible for managing their own payments and ensuring that deposits are made correctly.

10.2. Wallets and Usability

  1. Different wallets may exist within the platform, each with specific usability limits for certain purposes;
  2. Users have the option to choose which wallet they want to deposit into, depending on their needs and preferences.

10.3. Deposit Promos

  1. Various deposit options may come across with associated promos;
  2. These promos are subject to terms and conditions that will be specified during the campaign period.

10.4. Payment Methods

  1. Multiple payment methods may be available for users to choose from, providing flexibility in how funds are deposited;
  2. Ezgage employs known and trustable third-party payment providers, and its responsibility is limited to ensuring the payment process through these providers is as smooth as possible.

10.5. Security and Responsibility

  1. Users must ensure the accuracy and security of their payment information;
  2. Ezgage’s liability is limited to the extent of ensuring that payment processes are facilitated through reputable third-party providers.

10.6. Funds Usage and Invoicing

Funds from deposits will not necessarily be invoiced at the time of deposit but will be instead when they are used for services, in accordance with local laws in the jurisdiction of Ezgage’s current place of registration.

10.7. Additional Points

  1. Deposit Limits: There may be minimum and maximum deposit limits depending on the payment method and wallet type;
  2. Transaction Fees: Some payment methods might incur transaction fees. Users will be informed of any fees before completing their deposit;
  3. Deposit Confirmation: Users will receive a confirmation once their deposit has been successfully processed;
  4. Bonus Terms: Any promos associated with deposit campaigns will be subject to specific terms and conditions, including expiry dates and usage restrictions;
  5. Refund Policy: You agree that all funds are non-withdrawable, except for those in the Withdrawable wallet, which will be explained in these terms and conditions;
  6. Currency Options: Deposits may be accepted in various currencies, and users can choose their preferred currency during the deposit process;
  7. Deposit Tracking: Users can track their deposit history and status through their account deposits history;
  8. Support: Customer support is available to assist users with any issues or questions regarding deposits;
  9. Deposit Fraud Prevention: Ezgage implements measures to prevent fraudulent deposits and protect user accounts;
  10. Compliance: All deposit activities must comply with applicable laws and regulations, and users may be required to verify their identity as part of compliance measures.

11. Wallet

11.1. Types

Users will have different wallets within their account, each with specific limitations on the types of services and actions they can be performed and/or used for.

11.2. Features

  1. Service-Specific Wallets: Each wallet may be limited to designated type(s) of services, ensuring that funds are used appropriately within Ezgage ecosystem;
  2. Withdrawable Wallet: This wallet contains funds that users can withdraw. Sources of these funds include but are not limit to:
    1. Earnings from the referral program;
    2. Sales proceeds from the marketplace.

11.3. Transactions History

Users can view the history of all transactions associated with their wallets. This includes any type of transaction.

11.4. Additional Points

  1. Transfer Restrictions: Fund transfers between wallets are not permitted unless authorized and performed by the support team;
  2. Withdrawable Wallet Usage: The Withdrawable Wallet acts as a supplement to other wallets if they exceed available funds. It will be the last in the prioritization line for collecting funds for Ezgage services;
  3. Withdrawal Fees: Some withdrawals may incur fees. Users will be informed of any applicable fees before confirming the withdrawal request;
  4. Deposit to Wallets: Users can choose to deposit funds into specific wallets based on their intended use;
  5. Wallet Management: Users have tools within their account to manage their wallets;
  6. Security Measures: Each account is protected with security measures to prevent unauthorized access and ensure the safety of user funds;
  7. Compliance and Verification: All wallet transactions must comply with applicable laws and regulations. Users may be required to verify their identity for certain transactions;
  8. Account Termination for Violations: Ezgage reserves the right to terminate a user’s account if exploits or violations of terms are discovered. This action is taken without the right to a refund and always with a valid justification:
    • Exploitation Detection: Ezgage will monitor accounts for any signs of exploitative behavior or violations of terms;
    • Immediate Action: If violations are detected, Ezgage can take immediate action to suspend or delete the account;
    • Notification: Users will be notified of the account deletion and the specific reasons for this action;
    • No Refund Policy: In cases of serious violations or exploitation, no refunds will be issued for any remaining balance in the account;
    • Appeal Process: Users may have the opportunity to appeal the decision by providing evidence or explanations regarding the detected violations.

12. Subscription

12.1. Plans

  1. Various subscription plans are available, each costing a specific amount, having a set duration and different limits and conditions;
  2. Subscriptions utilize funds previously deposited in wallet(s) designated for exclusive or non-exclusive use for subscriptions.

12.2. Limits

Subscriptions come with several limits, including but not limited to:

  1. Type of service(s);
  2. Service-related periods;
  3. Service request limits;
  4. Number of profiles;
  5. Number of campaigns;
  6. Spending limits;
  7. Marketplace fees.

12.3. Upgrading

Users can upgrade to a higher-value plan immediately

  1. Remaining funds from the current plan will be refunded;
  2. If the user has more pending/approved profiles than the new plan allows, they must first delete the necessary number of profiles.

12.4. Downgrading

Users can downgrade to a lower-value plan, but the change will be scheduled on time.

  1. The current plan will continue until its end date, after which the downgrade will take effect;
  2. If the user has more pending/approved profiles than the new plan allows, all profiles will be deactivated. The user must resubmit profiles for approval, limited to the new plan’s profile limit.

12.5. Additional Features

  1. Users can add days to the current plan, limited to available plans;
  2. Users can configure auto-renewal of the current plan on/off, limited to available plans;
  3. All plans are invoiced at the start date for the full amount, except for upgrades, which are invoiced for the difference between the upgrade plan and the remaining value of the current plan.

12.6. Ezgage´s rights

Ezgage reserves the right to cancel or revoke any plan if the user fails to comply with the terms, always providing a reason for such action.

12.7. Additional Points

  1. Trial Periods: Some subscription plans may offer a trial period;
  2. Subscription Renewal: Users can set up automatic renewal for their subscriptions. Renewal emails will be sent prior to renewal dates;
  3. Subscription Cancellation: Users can not cancel their subscription;
  4. Refund Policy: Refunds for subscriptions are subject to Ezgage’s consideration;
  5. Subscription Customization: Users may have options to choose or request a specific plan to better suit their needs, depending on availability and/or Ezgage approval;
  6. Support: Customer support is available to assist users with any issues or questions regarding their subscriptions;
  7. Compliance and Verification: All subscription activities must comply with applicable laws and regulations. Users may be required to verify their identity for certain transactions.

13. Marketplace

13.1. Overview

The marketplace allows users to monetize their activity on social media networks by collecting points for interactions and then selling them on the marketplace.

13.2. Selling

  1. When listing points for sale, users must specify the quantity and price per point they wish to sell and receive accordingly.
    1. Listed points will be allocated to the marketplace during the period the sell order is active;
    2. Earnings from these sales will be credited to the user’s Withdrawable Wallet;
    3. These funds will only become available when the sell order is closed or expired.
  2. Users can close a sell order at any time, subject to a processing period by Ezgage, with any remaining points returned to the user if applicable.

13.3. Buying

  1. When buying points on the marketplace, users must specify the quantity they intend to purchase;
  2. A purchase offer will be generated based on the current market offers;
    1. The proposal will prioritize active listed sales with the lowest price per point.
  3. A fee may be associated with the purchase, calculated but not limited as a percentage of the purchase cost;
    1. This fee may depend on the user’s current status or subscription plan;
    2. The fee will be invoiced upon the successful completion of the purchase.
  4. The total cost will be debited when the purchase proposal is confirmed, accepted and closed by the user. At this moment, purchased points will be credited and marked as available in the buyer’s account.

13.4. Usability

  1. Minimum quantities of funds and points may be required to enable the usability of the marketplace service;
  2. Marketplace orders may expire if they remain inactive for a certain number of days.

13.5. Additional Points

  1. Order Management: Users can manage their buy and sell orders through their account;
  2. Transaction History: Users can view the history of their marketplace transactions, including detailed information on each buy and sell order;
  3. Fee Transparency: All associated fees will be clearly outlined before users confirm their transactions;
  4. Security Measures: The marketplace employs robust security measures to protect users’s transactions and data;
  5. Dispute Resolution: A dispute resolution process is in place for any issues arising from marketplace transactions;
    • Users can contact customer support for assistance with disputes.
  6. Compliance: All marketplace activities must comply with applicable laws and regulations;
  7. Notifications: Users will receive notifications to alert them of any activity related to their marketplace orders;
  8. Promotional Campaigns: Ezgage may run promotional campaigns to incentivize marketplace activity;
    • These campaigns may include reduced fees, bonus points, or other benefits.
  9. Analytics and Insights: Users can access analytics and insights on marketplace trends to make informed buying and selling decisions;
  10. Support: Customer support is available to assist users with any questions or issues related to marketplace transactions.

14. Referral Program

14.1. Overview

The referral program allows users to monetize by actively inviting friends, acquaintances, or their audience, to use Ezgage.

14.2. Bonus and Earnings

  1. Referral Bonuses: Users who use a referral code during their deposit will receive a bonus as a percentage of the deposit price;
  2. Earnings for Code Creators: Code creators will receive a percentage of the deposit price as their earnings;
  3. Withdrawable Earnings: These earnings will be credited to the Withdrawable Wallet and are available for withdrawal and/or to be used on Ezgage services.

14.3. Program Limits and Termination

  1. Ezgage reserves the right to set a maximum percentage for bonuses, earnings, or combined totals;
  2. Ezgage can terminate the referral program at any time;
  3. Users may have a maximum number of active codes;
  4. Once disabled by users, codes cannot be reactivated, but the associated earnings and statistics will remain;
  5. Ezgage may prevent users from creating new codes and place existing codes on hold if the account does not have any approved profiles.

14.4. Code Management and Security

Ezgage reserves the right to cancel any code and/or ban/delete the associated account if it is determined that exploits or damaging actions are being carried out using the code.

14.5. Additional Points

  1. Code Creation: Users can create multiple referral codes, each with unique percentages and conditions;
  2. Code Usage Tracking: Users can track the usage and performance of their referral codes through their account;
  3. Referral Notifications: Users will receive notifications about the performance of their referral codes, including earnings;
  4. Compliance: All referral activities must comply with applicable laws and regulations;
  5. Support: Customer support is available to assist users with any issues or questions regarding the referral program;
  6. Fraud Prevention: Measures are in place to detect and prevent fraudulent activities related to the referral program.
  7. Referral Program Adjustments: Ezgage reserves the right to make adjustments to the referral program terms and conditions as needed.
  8. User Responsibilities: Users are responsible for promoting their referral codes ethically and in accordance with Ezgage’s guidelines.

15. Ezgage Account

15.1. Account Registration

Users must register and maintain an Ezgage account to access Ezgage services and platform. Accounts can be for individual users or corporate entities.

15.2. Account Approval

  1. All Ezgage accounts are provided at Ezgage’s absolute discretion;
  2. Ezgage reserves the right to refuse any application for an account without providing a reason;
  3. Ezgage may limit the number of accounts a user can hold.

15.3. Verification Process

  1. You authorize Ezgage to make inquiries, directly or through third parties, to verify your identity and protect against fraud, money laundering, terrorist financing, or other financial crimes;
  2. Your personal data and that of any permitted users may be disclosed to identity verification, compliance data recordation, credit reference, fraud prevention, or financial crime agencies.

15.4. Privacy Notice

Users can review Ezgage Privacy Policy for information on how personal data is processed.

15.5. Enhanced Due Diligence

Ezgage may require compliance with enhanced due diligence procedures, which may involve submitting additional information, providing more information and documentation, or having face-to-face meetings with Ezgage representatives.

15.6. Records

Ezgage keeps personal data to enable continued use of services, for as long as required to fulfill relevant purposes, and as required by law for tax, accounting, and compliance with anti-money laundering laws.

15.7. Sub-Accounts

  1. At Ezgage’s discretion, users may create and access sub-accounts;
  2. Each sub-account is subject to the same identity verification requirements;
  3. Only one natural person or corporate entity may be associated with a particular sub-account.

15.8. Prohibited Activities

Users shall not use temporary, disposable, self-destructive, or similar email addresses when registering or using Ezgage services.

15.9. Account Security

  1. Strong Passwords: Users must create strong passwords including letters, numbers, and special characters;
  2. Password Management: Users should not share passwords and are advised to use password management tools.

15.10. Prohibited Activities

  1. Multiple Accounts: Creating multiple accounts for malicious purposes or system exploitation is prohibited;
  2. Account Sharing: Sharing account access is not allowed;

  1. Ezgage may require information from users at any time to comply with applicable laws, meet identity verification requirements, or in connection with detecting money laundering, terrorist financing, fraud, or other financial crimes;
  2. Users agree to provide any requested information and allow Ezgage to keep a record of this information for the duration of their account’s existence or as required by applicable laws to fulfill their intended purposes;

  2. Access to your Ezgage account is permitted only through the Access IDs provided to you or your Permitted Users. Multi-factor authentication may be required to ensure the security of your account;
  3. The use of the platform and other access methods may be subject to additional terms communicated to you.

17.2. Restricting Access to Third Parties

You must ensure that any Ezgage account registered under your name is not used by any person other than yourself. For corporate accounts, only Permitted Users may access the account as per the applicable terms.

  1. Secure Access: Always use the provided Access IDs and ensure your login credentials are secure;
  2. Authorized Users: Only authorized individuals should have access to your Ezgage account. For corporate accounts, this means only Permitted Users;

  4. Account Monitoring: Regularly monitor your account activity to ensure there is no unauthorized access;
  5. Support: Contact Ezgage support immediately if you suspect any unauthorized access to your account.

18. Account information and Historic records

18.1. Your Account History

  1. Users will have access to their account history on Ezgage platform;
  2. It is important to review your account history carefully and report any unrecognized or incorrect entries or records within fourteen (14) calendar days from when the account history is provided or made available to you.

18.2. Errors

  1. Ezgage reserves the right to rectify any errors in your account history at any time;
  2. Ezgage can void, cancel, or reverse any record involving or resulting from a manifest error or amend the record details to reflect what is reasonably considered the correct or fair record;
  3. If you execute any action with improper intent or in the case of a manifest error, Ezgage is authorized to:
    1. Cancel/void such record and treat it as if it had never occurred;
    2. Amend the record to reflect the prevailing data at the relevant time, as determined by Ezgage.

18.3. Transaction Cancellation or Amendment

  1. If Ezgage cancels a record, any actions and/or consequences in connection with such record will be reversed as if the record had never taken place;
  2. If Ezgage amends a record, the details of the amended terms will be confirmed to you through an agreed communication channel;
  3. You are solely responsible for your records with any third parties that may have been entered into in connection with or reliance on any record that may be subject to cancellation or amendment by Ezgage.

Ezgage is not liable for any claims or losses resulting from your failure to comply with these responsibilities.

19.2. Security measures

  1. You and any permitted users must maintain adequate security and control of all your access IDs at all times. Necessary security measures to protect your Ezgage account and keep your access IDs secure include:
    1. Compliance: Strictly following all of Ezgage’s mechanisms or procedures;
    2. Password Security: Creating a strong password and maintaining security and control of your access IDs;
    3. Updated Account Information: Keeping contact information up to date and available to receive notices or alerts from Ezgage;
    4. Access Restrictions: Never allowing remote access or sharing your computer/screen while logged into your Ezgage account;
    5. Confidentiality: Remembering that Ezgage will never ask you to share your passwords.
  2. You must keep your email account and access IDs secure against attacks and unauthorized access. Notify Ezgage immediately if you suspect that the security of your email account, or that of a permitted user, has been compromised, or if there has been any unauthorized use.

19.3. Monitoring your Account History

Regularly monitor your account history to identify and notify Ezgage of any unauthorized or suspicious activity as soon as possible. A security breach may result in unauthorized access by third parties and the loss or theft of points or funds held in your Ezgage account and any associated accounts.

19.4. If you suspect a Security Breach

  1. If you suspect a security breach, ensure that:
    1. Immediate Notification: Notify Ezgage immediately and provide accurate and up to date information throughout the duration of the security breach;
    2. Additional Steps: Take any other steps reasonably required by Ezgage to reduce, manage, or report the security breach.
  2. Ezgage reserves the right to request, and you agree to promptly provide, any and all information and documents deemed relevant or necessary in connection with an actual or suspected security breach. You further acknowledge and agree that Ezgage may provide such information to any third party deemed necessary to investigate or resolve the security breach.

20. Instructions

20.1. Giving Instructions

  1. You must ensure that any instruction submitted to Ezgage is complete and accurate;
  2. Ezgage is not required to verify the accuracy, authenticity, or validity of any instruction and will not monitor or reject instructions on the basis of being, or appearing to be, duplicates;
  3. If there is doubt about the accuracy, authenticity, or validity of an instruction, Ezgage may refuse to act on it, defer acting, or seek further information;
  4. Instructions are irrevocable; once submitted, they cannot be rescinded or withdrawn without Ezgage’s written consent;
  5. An instruction is considered received by Ezgage only when it reaches their server;
  6. Ezgage’s record of all instructions will be conclusive and binding for all purposes.

20.2. Acting on your Instructions

  1. By submitting an instruction, you or your permitted users authorize Ezgage to initiate the action on your account;
  2. If there are subscription related limits and/or insufficient points or funds in your Ezgage account, Ezgage has the right to refuse to process the action:
  3. It is your responsibility to monitor your subscription related limits, points and funds balances;
  4. Ezgage may also refuse to act on instructions if permitted by their terms.

20.3. Protection of Instructions

  1. Instructions and information transmitted on the platform or via email are generally sent via the internet, which may not be specifically protected;
  2. Ezgage cannot guarantee complete protection against unauthorized access and you accept the associated risks.

20.4. Withdrawals

  1. Subject to these terms and any applicable product terms, and provided you have a sufficient balance and the relevant funds are not on hold, you may instruct Ezgage to transfer assets to an external destination by submitting a withdrawal request;
  2. Upon receipt of a withdrawal request, Ezgage will:
    1. Deduct the balance from your account;
    2. Initiate a transfer to the designated external destination.
  3. Ezgage may not process a withdrawal request if they reasonably consider that applicable law prevents its execution;
  4. Ezgage reserves the right to refuse a withdrawal request if they reasonably believe that any terms have been violated or exploited;
  5. Ezgage may also suspend withdrawals as necessary to resolve any incidents on the platform. Withdrawals will resume once such incidents are resolved.

  2. Ezgage does not guarantee that any transaction will be completed successfully or within a specific time frame.

21.2. Unauthorized Wallet Transactions

  1. Users are responsible for the control and use of their Ezgage account. Ezgage will assume that any instruction sent from your account is authorized by you or a permitted user unless notified otherwise;

  2. There will be no charges for terminating your Ezgage account, though you must settle any outstanding amounts owed to Ezgage;
  3. Upon termination, you authorize Ezgage to cancel or suspend any records and to deduct any outstanding amounts from your account balance.

25.2. What happens when your Ezgage Account is deleted

  1. If your Ezgage account is deleted, you are responsible to withdraw all withdrawable funds in your account;
  2. If you fail to withdraw your withdrawable funds, for a continuous period of 28 days, Ezgage may decide the best course of action.

You acknowledge that Ezgage will be under no obligation to pay any funds, incentive, or interest to your deleted account.

26. Deletion, suspension, holds and restrictions

  1. Refuse to complete, block, cancel, or reverse any record you have authorized;

    8. Pending or ongoing litigation, investigation, or regulatory proceedings;
    9. Unpaid amounts owed to Ezgage;
    10. Undeliverable email communications;
    11. Issues with identity verification.

26.2. Your acknowledgement

  1. You acknowledge that the examples provided for when Ezgage might take action are non-exhaustive;
  2. Decisions to terminate, suspend, or restrict access may be based on confidential criteria essential to management and security protocols. Ezgage is not obligated to disclose these details.

26.3. What happens when we exercise our right

  1. If your Ezgage account is deleted, you are responsible to withdraw all withdrawable funds in your account;
  2. If you fail to withdraw your withdrawable funds, for a continuous period of 28 days, Ezgage may decide the best course of action.

26.4. Unlawful possession

If Ezgage reasonably believes that any funds and/or points in your account are stolen or unlawfully possessed, they may place a hold on the affected account. The hold will continue until evidence proves lawful possession. Ezgage will not be involved in disputes regarding the funds and/or points.

26.5. Access to Ezgage Services in Other Jurisdictions

  1. Residents of some countries may only access certain Ezgage services. Services available to you may change based on your location. Do not attempt to circumvent these restrictions using methods such as virtual private networks;
  2. If you travel to a country where Ezgage services are prohibited by Law, you should not use Ezgage.

  1. Ezgage services and any information provided on the platform, including chat services, are offered on an “as is” and “as available” basis without any representation or warranty, whether express or implied, to the maximum extent permitted by applicable law;
  2. Specifically, Ezgage disclaims any implied warranties of title, merchantability, fitness for a particular purpose, and non-infringement;

Ezgage does not make any representations or warranties that access to the platform, any of your Ezgage accounts, services, or any materials contained therein will be continuous, uninterrupted, timely, or error-free. This could result in the inability to use the platform for a period of time and may also lead to delays and cancellations.

  1. Ezgage may suspend access to your account and/or services from time to time for both scheduled and emergency maintenance;
  2. While reasonable efforts will be made to ensure transactions on the platform are processed in a timely manner, Ezgage makes no representations or warranties regarding the time needed to complete processing, which depends on many factors outside of Ezgage’s control.

Although Ezgage makes reasonable efforts to update the information on the platform, no representations, warranties, or guarantees, whether express or implied, are made that the content on the platform, including information related to Ezgage services, is accurate, complete, or up-to-date.

27.5. Network Access and Compatibility

  1. You are responsible for obtaining the network access necessary to use Ezgage services;
  2. You are responsible for acquiring and updating compatible hardware or devices necessary to access and use Ezgage services and any updates thereto;
  3. Ezgage does not guarantee that the services, or any portion thereof, will function on any particular hardware or devices;
  4. The services may be subject to malfunctions and delays inherent in the use of the internet and electronic communications.

28. Indemnity

28.1.Third-party claims

You agree to indemnify and hold Ezgage harmless from any claims, suits, actions, demands, disputes, allegations, or investigations brought by any third-party, governmental authority, or industry body. This includes all claims, liabilities, damages (actual and consequential), losses (including direct, indirect, or consequential losses, loss of profit, loss of reputation), costs, and expenses. This also covers all interest, penalties, and reasonable legal and other professional fees and expenses (“Losses”), arising out of or in any way connected with:

  1. Your access to or use of your Ezgage account and/or Ezgage services;
  2. Your breach or alleged breach of these terms or your contravention of any other clause or sub-clause of these terms, including any product terms and other terms and conditions incorporated by reference;
  3. Your contravention of any applicable law;
  4. Your violation of the rights of any third party.

28.2. Release

You irrevocably and unconditionally agree to release Ezgage from any and all claims and demands (and waive any rights you may have against Ezgage now or in the future in relation to any losses you may suffer or incur) arising directly or indirectly out of or in connection with any dispute that you have with any other user or third party in connection with Ezgage services or the subject matter of these terms.

Neither Ezgage nor any Ezgage affiliate will be responsible for any loss suffered by you or any third party, except where such loss arises solely and directly as a result of gross negligence, willful misconduct, actual fraud, or a material and continuing breach of obligation under these terms by Ezgage;
  2. In any event, the total liability of Ezgage and all affiliates in aggregate will not exceed the amount paid by you to Ezgage in the 12-month period immediately before the event giving rise to the loss. This sum will be paid to you in full and final settlement of all claims and losses;
  3. You acknowledge and agree that Ezgage is not aware of any special circumstances pertaining to you, and that damages are an adequate remedy. You shall not be entitled to any other claims or remedies at law or in equity, including claims for injunctions or specific performance.

29.2. Limitations on liability

You acknowledge and agree that in no event will Ezgage or any affiliate be responsible or liable for any direct or indirect losses (including loss of funds and/or points, business, or opportunities), damages, or costs arising out of or in connection with Ezgage services, including but not limited to:

  1. Actions or inactions in accordance with these terms;
  2. Regular or unscheduled maintenance leading to service interruptions;
  3. Theft of devices used to access Ezgage services;
  4. Actions, omissions, or breaches by other users or third parties;
  5. Damage from computer viruses, malware, or other attacks;
  6. Hardware failures, data corruption, or loss;
  7. Use of the internet to connect to Ezgage services, including technical problems and security breaches;
  8. Rejection of account applications;
  9. Deletion, termination, or restriction of account access, including inability to withdraw assets;
  10. Limits applied to your account;
  11. Decisions regarding support for digital assets;
  12. Failure to contact you;
  13. Failure or delays;
  14. Refusal or delay in acting upon instructions;
  15. Security breaches or unauthorized access to email accounts;
  16. Losses from third-party fraud or scams;
  17. Losses from transferring funds off the platform;
  18. The accuracy, security, completeness, or availability of Ezgage services;
  19. Records, transactions, instructions, or operations effected through your account.

29.3. Damage or interruption

  1. Ezgage is not liable for any damage or interruptions caused by computer viruses, spyware, malware, phishing, spoofing, or other attacks;
  2. You are responsible for using reputable virus screening and prevention software and for keeping login credentials secure.

29.4. Resolving Disputes: Forum, Arbitration, Class Action Waive

Nothing in this section deprives you of any mandatory legal rights from which you benefit under applicable law.

30. Notice of Claim and Dispute Resolution

The parties will endeavor to resolve all disputes, controversies, and claims that may arise in connection with the execution, or invalidation of these Terms by negotiations. Disclosure of this information is restricted to the court, arbitration tribunal, the arbitration center, the parties involved, their legal counsels, experts, witnesses, accountants, auditors, insurers, and reinsurers. However, confidential information may be disclosed under the following circumstances:

  1. With the written consent of the other party;
  2. As required by applicable law or by the regulations of any regulatory or supervisory authority of competent jurisdiction, or pursuant to any court order or order from a competent authority or tribunal;
  3. In connection with the initiation, pursuit, or defense of any bona fide legal proceedings;
  4. If the confidential information is already in the public domain, not due to a breach of this agreement.

30.3. Applicable law

Any issue which is not agreed in these Terms will be governed by the law at our current place of registration.

31. General Terms

  1. Applicable Law: You and any permitted users must comply with all applicable laws, licensing requirements, and third-party rights (including data privacy laws and anti-money laundering and counter-terrorism financing laws) in your use of Ezgage services, your Ezgage account, and the platform.
  2. Notices
    1. Ezgage may send notices via email to your registered email account. It is your responsibility to ensure that your email account is accurate and current. Notices sent to your email account are deemed received whether or not a delivery failure notice is received;
    2. You may provide notices to Ezgage only as directed, and this may change from time to time;
    3. Any notices, consents, or other communications given under these terms must be in writing, in English, and signed or otherwise authorized by the party giving it.
  3. Announcements: All official announcements, news, promotions, competitions, and updates will be communicated on Ezgage website and/or app. You are responsible for monitoring and reviewing these announcements;
  4. Entire agreement: These terms constitute the entire agreement between you and Ezgage regarding the services. Each party acknowledges that it has not relied on any statement or assurance not expressly set out in these terms;
  5. Assignment: You may not assign or transfer any of your rights or obligations under these terms without Ezgage’s prior written consent. However, Ezgage may assign or transfer its rights or obligations at any time to anyone;
  6. Invalidity: If any clause or part of a clause in these terms becomes illegal, invalid, or unenforceable, the remaining clauses will remain unaffected;
  7. Records: You agree that Ezgage may record any telephone, email, and chat conversations with you, as well as any other communications, including those used to give instructions or execute actions. These records will be the property of Ezgage;
  8. Language: These terms may be translated into other languages for convenience. In the event of inconsistency or ambiguity, the English text will prevail;
  9. Survival: All clauses which by their nature extend beyond the termination or expiration of these terms will continue to be binding;
  10. Relationship of the parties: Ezgage is not an agent of you in the performance of these terms. These terms should not be interpreted as establishing an association, joint venture, partnership, or franchise between the parties;
  11. Force Majeure: Ezgage will not be liable for any delay or failure to perform as required by these terms due to events beyond their control;
  12. No waiver: No delay or omission in exercising any right or remedy under these terms will operate as a waiver. The rights and remedies provided are cumulative and not exclusive of any other rights or remedies;
  13. Set-off: Ezgage may set-off any amounts you owe under these terms against your funds. You must pay all sums owed to Ezgage without set-off, counterclaim, deduction, or withholding, except as required by applicable law;
  14. Privacy of others: If you receive information about another user through the platform, you must keep it confidential and use it only for Ezgage services in accordance with applicable law. Do not disclose or distribute any user information to third parties;
  15. Publication of breaches: Ezgage may publish details of any breaches of these terms if necessary to protect other users, in accordance with applicable law;
  16. Death of Ezgage Account holder: In the event of your death or incapacity, your representatives or beneficiaries must notify Ezgage. Your account may be suspended until the inheritance process is completed or satisfactory proof of your status is provided. Transfers of amounts are subject to applicable laws and terms;
  17. Tax: You are responsible for determining and fulfilling your tax obligations related to payments made or received. Ezgage is not responsible for determining, collecting, reporting, or remitting taxes. Ezgage may report transactions to tax authorities and provide necessary documentation for tax purposes. Taxes due may be withheld and deducted at the source as required by applicable law.

32. Definitions and Interpretation

32.1 Definitions

  1. Account: Your registered profile on Ezgage platform, enabling access to Ezgage Services;
  2. Affiliate: Any entity that directly or indirectly controls, is controlled by, or is under common control with Ezgage;
  3. Applicable Law: Any relevant laws, statutes, regulations, ordinances, and other laws or regulations of any jurisdiction that are applicable to the use of Ezgage platform or services;
  4. Background IP: Intellectual property owned or controlled by Ezgage before or independently of the creation of any Created IP;
  5. Campaign: A promotional or advertising activity created and managed through Ezgage platform;
  6. Created IP: Any intellectual property developed, created, or arising out of or in connection with the use of Ezgage Services;
  7. Ezgage Account: An account created by a user on Ezgage platform to access and use Ezgage Services;
  8. Ezgage IP: Intellectual property owned or controlled by Ezgage, including but not limited to software, trademarks, and proprietary information;
  9. Ezgage Services: The social media services, tools, and functionalities provided by Ezgage through the platform or other means, including campaign management, performance analytics, and monetization features;
  10. Force Majeure: Events beyond Ezgage’s control, such as natural disasters, war, terrorism, governmental actions, and other unforeseen circumstances that prevent the performance of obligations under these Terms;
  11. Intellectual Property: Patents, trademarks, trade names, service marks, copyrights, trade secrets, know-how, and any other proprietary rights;
  12. Permitted User: An individual or entity authorized by you to access and use your Ezgage Account in accordance with these Terms;
  13. Platform: Ezgage website, mobile application, and any other digital interface provided publicly by Ezgage for accessing Ezgage Services;
  14. Points: The rewards earned to be used within Ezgage platform;
  15. Product Terms: Specific terms and conditions applicable to individual Ezgage Services or features;
  16. Profile: A social media network account or presence submitted to or managed through Ezgage platform;
  17. Restricted Person: An individual or entity subject to sanctions or restrictions under Applicable Law, preventing them from accessing or using Ezgage Services;
  18. Sub-Account: An account associated with a primary Ezgage Account, subject to the same verification and security requirements;
  19. User IP: Intellectual property owned or controlled by the user, which is used in connection with Ezgage Services;
  20. Withdrawable Wallet: A designated wallet within Ezgage platform containing funds that can be withdrawn by the user.

32.2 Interpretation

  1. Singular and Plural: Words in the singular include the plural and vice versa;
  2. Gender: Words importing one gender include all genders;
  3. Headings: Headings are for convenience only and do not affect interpretation;
  4. Including: The word “including” is to be construed without limitation;
  5. References to Persons: References to persons include individuals, corporations, partnerships, and other legal entities;
  6. References to Clauses: References to clauses are references to clauses in these Terms unless stated otherwise;
  7. Statutory References: References to any statute or statutory provision include amendments, replacements, and re-enactments of that statute or provision;
  8. Written and In Writing: References to “written” or “in writing” include electronic communications such as emails.
